A representative office acts on behalf of the parent organization rather than in its own name. Its head operates based on the regulations governing the representative office and a power of attorney that explicitly defines the scope of authority—such as conducting negotiations, signing contracts, interacting with government authorities, and protecting the company’s interests.
The term "regional representative" may also refer not to a structural unit, but to an individual employee, agent, or contractor of the company. In such cases, the status is determined by an employment, agency, commission, or other contract, rather than by Article 55 of the Civil Code of the Russian Federation.
